Terms of Service & Usage Licence

These Terms govern your access to and use of the BELEM website (belem.services), dashboards, APIs, and related services (together, the "Platform"), operated by BELEM Blockchain Technology Co., Ltd. ("BELEM", "we", "us"). By accessing the Platform you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction. You must not be a resident of a sanctioned country or appear on any consolidated sanctions list. Use of the Platform by prohibited persons is void from inception.

2. Account and KYC

Some features require an account and successful completion of our KYC & AML verification. You agree to provide accurate, current, and complete information, and to keep it updated. You are responsible for all activity carried out under your account.

3. Licence to use the website

Subject to these Terms, BELEM grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own lawful, non-commercial purposes, or for the internal business purposes of the verified legal entity that holds your account.

4. Permitted use

• Viewing the content and using the dashboards and APIs as documented.
• Conducting fiat-to-crypto and crypto-to-fiat transactions in compliance with these Terms and applicable law.
• Downloading copies of your own data and transaction history for personal record-keeping.

5. Prohibited use

• Reverse engineering, decompiling, scraping, or otherwise interfering with the Platform or its underlying code.
• Bypassing rate limits, authentication, KYC, or sanctions screening.
• Using the Platform for money laundering, terrorist financing, fraud, market manipulation, sanctions evasion, or any unlawful purpose.
• Reselling, white-labelling, sub-licensing, or otherwise commercialising any part of the Platform without a written agreement.
• Uploading malware, infringing content, or material that violates the rights of any third party.
• Operating an account on behalf of an undisclosed third party (nominee accounts).

6. Intellectual property

All content, software, branding, designs, logos, and trademarks on the Platform are owned by BELEM or its licensors and are protected by Canadian and international intellectual-property laws. No rights are granted to you other than the limited licence in Section 3. The "BELEM" name and logo may not be used without our prior written consent.

7. User content

You retain ownership of the information and documents you submit. You grant BELEM a worldwide, royalty-free licence to use, store, and process such content strictly as necessary to operate the Platform, perform our compliance obligations, and improve our services in an aggregated and anonymised form.

8. Fees

Fees, spreads, and minimums are published on the Platform and may be updated from time to time. The applicable fee is the one displayed at the moment your order is confirmed. Bank, network, and intermediary fees may apply in addition.

9. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, where we reasonably believe you have breached these Terms, applicable law, or where required by a regulator or banking partner. You may close your account at any time by contacting support, subject to the completion of pending transactions and statutory record-keeping.

10. Disclaimers and limitation of liability

Your use of the Platform is subject to the risks and limitations set out in our Legal Disclaimers, which form part of these Terms.

11. Changes

We may revise these Terms from time to time. Material changes will be notified by email or by a prominent notice on the Platform at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada. The courts of Toronto have exclusive jurisdiction over any dispute, subject to any non-waivable consumer rights in your country of residence.
