Terms of Service & Usage Licence

These Terms of Service ("Terms") govern your access to and use of the BELEM website (belem-services.com), dashboards, APIs, and related services (together, the "Platform"). Please read them carefully. By accessing or using the Platform you agree to be bound by these Terms; if you do not agree, you must not use the Platform.

1. Who we are

• Operator: BELEM Blockchain Technology Co., Ltd. (o/a BELEM Blockchain) ("BELEM", "we", "us", "our").
• Incorporation: Province of Ontario, Canada — Ontario Corporation Number 1000260680, incorporated 16 July 2022.
• Registered office: 10 Milner Business Court, Suite 300, Scarborough, Ontario, Canada, M1B 3C6.
• Principal place of business: 439 University Avenue, 5th Floor, Toronto, Ontario, Canada, M5G 1Y8.
• Regulatory status: Money Services Business registered with FINTRAC, registration number M23331281 (foreign exchange dealing, money transferring, dealing in virtual currency).

2. Definitions

• "Account" — the verified user profile through which you access the Platform.
• "Digital Asset" — a cryptocurrency or virtual currency supported by BELEM.
• "Order" — an instruction to exchange fiat for Digital Assets or vice versa.
• "KYC" — the identity-verification process described in our KYC & AML Verification policy.

3. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts in your jurisdiction. You must not be a resident of a sanctioned country or appear on any consolidated sanctions list. Use of the Platform by prohibited persons is void from inception. By using the Platform you represent that all information you provide is true, accurate, and complete.

4. Account and KYC

Most features require an Account and successful completion of our KYC & AML verification. You agree to provide accurate, current, and complete information, to keep it updated, and to cooperate with ongoing due-diligence requests. You are responsible for all activity carried out under your Account and for safeguarding your credentials and two-factor authentication device.

5. Compliance, AML & sanctions

BELEM operates under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and maintains the programme described in our AML / CTF Policy. You agree that BELEM may screen, monitor, hold, decline, reverse, or report any transaction, and freeze or close any Account, where required by law or by our risk assessment. You must not use the Platform for money laundering, terrorist financing, fraud, market manipulation, sanctions evasion, or any unlawful purpose.

6. Licence to use the website

Subject to these Terms, BELEM grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform for your own lawful purposes, or for the internal business purposes of the verified legal entity that holds your Account.

7. Permitted use

• Viewing the content and using the dashboards and APIs as documented.
• Conducting fiat-to-crypto and crypto-to-fiat transactions in compliance with these Terms and applicable law.
• Downloading copies of your own data and transaction history for personal record-keeping.

8. Prohibited use

• Reverse engineering, decompiling, scraping, or otherwise interfering with the Platform or its underlying code.
• Bypassing rate limits, authentication, KYC, or sanctions screening.
• Using the Platform for any unlawful, fraudulent, or abusive purpose.
• Reselling, white-labelling, sub-licensing, or otherwise commercialising any part of the Platform without a written agreement.
• Uploading malware, infringing content, or material that violates the rights of any third party.
• Operating an Account on behalf of an undisclosed third party (nominee accounts).

9. Orders, pricing & settlement

Digital Assets are exchanged at live market rates. The applicable rate and fee are those displayed at the moment your Order is confirmed. Once executed, Orders are final and irreversible save as set out in our Refund & Cancellation Policy. Settlement of fiat funds is subject to our Banking Verificationrequirements; BELEM only sends or receives funds to or from bank accounts held in your verified name.

10. Fees

Fees, spreads, and minimums are published on the Platform and may be updated from time to time. The applicable fee is the one displayed at the moment your Order is confirmed. Bank, network, and intermediary fees may apply in addition and are outside BELEM's control.

11. Intellectual property

All content, software, branding, designs, logos, and trademarks on the Platform are owned by BELEM or its licensors and are protected by Canadian and international intellectual-property laws. No rights are granted to you other than the limited licence in Section 6. The "BELEM" name and logo may not be used without our prior written consent.

12. User content

You retain ownership of the information and documents you submit. You grant BELEM a worldwide, royalty-free licence to use, store, and process such content strictly as necessary to operate the Platform, perform our compliance obligations, and improve our services in an aggregated and anonymised form. We process personal data in accordance with our Privacy Policy.

13. Risk acknowledgement

You acknowledge that you have read and understood our Risk Disclosure Statement and that trading and transacting in Digital Assets carries significant risk, including the risk of total loss. BELEM does not provide investment, legal, or tax advice.

14. Suspension and termination

We may suspend or terminate your access at any time, with or without notice, where we reasonably believe you have breached these Terms, applicable law, or where required by a regulator or banking partner. You may close your Account at any time by contacting support, subject to the completion of pending transactions and statutory record-keeping (five years under the PCMLTFA).

15. Disclaimers and limitation of liability

Your use of the Platform is subject to the risks and limitations set out in our Legal Disclaimers, which form part of these Terms. To the maximum extent permitted by law, the Platform is provided "as is" and "as available", and BELEM's aggregate liability for any direct damages shall not exceed the fees paid by you to BELEM in the twelve months preceding the event giving rise to the claim.

16. Indemnity

You agree to indemnify and hold harmless BELEM and its affiliates, directors, officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your misuse of the Platform.

17. Complaints

We aim to resolve complaints fairly and promptly. Email Support@belem-services.com with the details of your complaint; we will acknowledge within 2 business days and aim to provide a substantive response within 30 days.

18. Force majeure

BELEM is not liable for any failure or delay in performance caused by events beyond its reasonable control, including blockchain network failures, bank or correspondent failures, cyber-attacks, outages, acts of government, or changes in law.

19. Changes to these Terms

We may revise these Terms from time to time. Material changes will be notified by email or by a prominent notice on the Platform at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.

20. Assignment, severability & entire agreement

You may not assign these Terms without our consent; we may assign them to a successor or affiliate. If any provision is found unenforceable, the remaining provisions remain in full force. These Terms, together with the policies referenced herein, constitute the entire agreement between you and BELEM regarding the Platform.

21. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. The courts of Toronto, Ontario have exclusive jurisdiction over any dispute, subject to any non-waivable consumer rights in your country of residence.
